Holders of the subordinated notes “Banca Carige S.p.A. 2019-2029 Callable Tasso Fisso Con Reset Tier II” – ISIN IT0005389934 – Series 645 (the “Notes”) are hereby informed that – having received prior authorisation from the competent Supervisory Authority pursuant to the applicable legislation – BPER Banca S.p.A. (in its capacity as the company that acquired the original issuer Banca Carige S.p.A.)  intends to redeem the Notes, in full and in advance of their original Maturity Date (20 December 2029), on 20 December 2024 (the “Redemption Date”) pursuant to art. 8 (Redemption and/or early Purchase) of the Notes Terms and Conditions.
