Resolution on merger transactions of BPMezz, BdC and BPR into BPER

We hereby inform that as of today the Board of Directors of Banca popolare dell’Emilia Romagna s.c. ("BPER") has approved the merger of Banca Popolare del Mezzogiorno S.p.A., Banca della Campania S.p.A. and Banca Popolare di Ravenna S.p.A. into BPER, following equal resolutions as approved by the Shareholders’ Meetings of the Banks to be merged.

BPER resolution - as resulting from public deed pursuant to Article 2505, paragraph 2, of the Italian Civil Code - was adopted by its Board of Directors since no requests have been notified by its Shareholders - pursuant to Article 2505, paragraph 3, of the Italian Civil Code - within the regulatory time limit thereof to such an extent as to entail the above resolution to be adopted by its Shareholders’ Meeting.

Such resolution shall be posted - once filed with the Companies’ Register - on the website www.bper.it as well as made available to the public at the registered office under terms and conditions as provided for by the law.
