Effectiveness of the merger by incorporation of Unipol Banca S.p.A. with and into BPER Banca S.p.A.

The deed of merger by incorporation of Unipol Banca S.p.A. (“Unipol Banca”) with and into BPER Banca S.p.A. (“BPER Banca”), executed on November 15, 2019 and registered with the Companies’ Registers of the merging companies on November 18, 2019, is effective from today.

Therefore, starting from November 25, 2019, assets and liabilities of Unipol Banca will be taken over by BPER Banca. For accounting and tax purposes the merger is effective from July 1, 2019.

The above shall not affect the effects of the assignment to Banco di Sardegna S.p.A. of Unipol Banca’s bank branches located in Sardinia, carried out immediately prior to the effectiveness of the merger.

The merger deed is published on the website www.bper.it, as well as made available to the public at the registered office and pursuant to the provisions of applicable law.
